Overview and Philosophy
Our firm focuses on smaller public and private companies and the investment banks and capital sources that focus on this niche segment of the market. Our firm represents more than 50 public companies and their officers, directors and employees in matters related to ongoing compliance with SEC regulatory requirements (i.e. Form 10-Ks, 10-Qs and 8-Ks) and general corporate matters. We are extensively engaged in representing capital market participants driven by the entrepreneurs who are committed to grow and finance their businesses. The firm provides legal services for companies in a variety of industries, including consumer products, social networking, information processing, telecommunications, biotechnology, Internet and software. Given the many years’ experience of our professionals and our securities and transactional sophistication in our niche market, we are able to offer cost effective and efficient legal services to our clients. We are flexible in our fee structure and, where appropriate, offer flat fee arrangements.
The firm distinguishes itself from many other securities and transactional law firms on the basis of its flexibility to counsel its clients on new and alternative financings. These financings include registered direct offerings, private investments in public entities (commonly referred to as “PIPEs”), reverse mergers and alternative public offerings (commonly referred to as a “Reverse Merger”), where the firm’s professionals have counseled our clients in the creation, formation and strategies relating to those financings, as well as, working closely with the regulatory agencies, including the SEC and FINRA; and listing exchanges such as NYSE, NYSE MARKET LLC (formerly NYSE AMEX) and NASDAQ. The firm also has many clients whose securities trade in the over-the-counter market on both the OTC Bulletin Board and the OTC Markets.
Meet the Team:
Charles B. Pearlman
Charles B. Pearlman is a partner with Pearlman Schneider LLP. Mr. Pearlman practices from the firm’s Boca Raton office. He has practiced law for more than 30 years and has extensive experience in the areas of corporate and securities law; and extends to include acquisition of broker/dealers, private placements and syndications, registration statements, reverse acquisitions and venture capital. Mr. Pearlman has represented both corporate clients and investment banking firms. As a result of relationships established through the years, he has networked among his clients to facilitate corporate and securities transactions. While attending law school, Mr. Pearlman worked for the New York Stock Exchange and a NYSE member firm. Upon graduation, he served as a trial attorney and ultimately Chief Attorney with the United States Securities and Exchange Commission. As part of his practice, Mr. Pearlman also represents corporations and individuals who are the subject of an investigation by the Securities and Exchange Commission, FINRA and state securities departments.

Mr. Pearlman received his Juris Doctor from Brooklyn Law School in New York and a Bachelor of Science from the University of Pennsylvania.
Mr. Pearlman is admitted to practice in Florida and New York. His professional affiliations include The Florida Bar, the Broward County Bar Association, and the American Bar Association.
Mr. Pearlman serves on the Board of Governors of the H. Wayne Huizenga School of Business and Entrepreneurship.
James M. Schneider
Jim relocated to South Florida in 1986 following private practice specializing in securities work in New York City and serving as in-house senior corporate counsel and general counsel for various NYSE and Nasdaq companies. Following practice as in-house counsel for these larger corporations, Jim has focused his legal career working with smaller law firms and providing for the specialized legal needs of developmental and emerging companies. Jim’s practice has centered on securities work, corporate governance, venture capital, compliance and acquisition and merger work for small cap companies. He has served on several federal securities law committees and subcommittees, with particular emphasis on the requirements of small and micro cap public companies. Jim received his J.D. degree from Northwestern University Law School and his Bachelor of Arts degree from Lafayette College.
Brian A. Pearlman
Brian A. Pearlman is a partner with Pearlman Schneider LLP. Mr. Pearlman practices from the firm’s Boca Raton office, where he focuses his practice in the areas of corporate, securities and business law. He advises a diversified client base in private placements, public offerings, mergers and acquisitions, reverse mergers, public reporting, financing transactions and general securities and corporate law matters. Mr. Pearlman also has experience in representing business entities in a wide variety of business matters including pre-organization planning, ownership issues, organization matters, contract negotiations and related matters.

Mr. Pearlman received his Juris Doctor from the University of Florida College of Law in 1998 and a Bachelor of Arts, with honors, from the University of Florida in 1995.
Mr. Pearlman is licensed to practice law in Florida and is a member of The Florida Bar.
Mr. Pearlman has been recognized as a “Legal Elite” in the area of business law by Florida Trend Magazine and was selected as a “Top Up-and-Comer” by the South Florida Legal Guide.
In his community, Mr. Pearlman serves on the Young Entrepreneurship Council of Nova Southeastern University, Wayne Huizenga School of Business. He is an advisory board member of the Boys and Girls Club of Broward County (NFL Yet Center). Mr. Pearlman serves as a Guide for the C Different Foundation, where he helps visually impaired athletes participate in athletic events, and he is also a Little League Coach with the City of Fort Lauderdale.
